Queste condizioni regolano l'accesso e l'utilizzo di Polydesk, il software gestionale per strutture sanitarie erogato da C.B. Sistemi S.r.l.

1. Oggetto e accettazione
I presenti termini disciplinano l'utilizzo di Polydesk (di seguito il “Servizio”), software gestionale in modalità cloud destinato a studi medici, poliambulatori e cliniche, fornito da C.B. Sistemi S.r.l. (di seguito il “Fornitore”).
L'accesso al Servizio e il suo utilizzo comportano l'accettazione integrale dei presenti termini. Le condizioni economiche, la durata, i livelli di servizio e le eventuali clausole specifiche sono definiti nel contratto sottoscritto tra il Fornitore e la struttura sanitaria cliente (di seguito il “Cliente”): in caso di contrasto, prevale quanto previsto dal contratto.
2. Descrizione del Servizio
Polydesk consente la gestione dell'agenda degli appuntamenti, dell'anagrafica dei pazienti, delle risorse della struttura (sale, apparecchiature, personale), delle comunicazioni verso i pazienti e delle relative attività amministrative. Le funzionalità effettivamente disponibili dipendono dal piano attivato e dalla configurazione concordata con il Cliente.
Il Fornitore può introdurre miglioramenti, modifiche o nuove funzionalità. Modifiche che riducano in modo sostanziale le funzionalità in uso sono comunicate al Cliente con ragionevole preavviso.
3. Account, credenziali e responsabilità d'uso
L'accesso avviene tramite credenziali individuali. Il Cliente è responsabile della gestione degli account dei propri operatori, della riservatezza delle credenziali e delle attività svolte tramite le stesse. Le credenziali non devono essere condivise tra più persone.
Il Cliente e i suoi operatori si impegnano a non:
- utilizzare il Servizio per finalità illecite o in violazione di norme applicabili;
- tentare di accedere ad aree, dati o account non di propria competenza, né di aggirare le misure di sicurezza;
- decompilare, disassemblare o tentare di derivare il codice sorgente del Servizio, salvo nei limiti inderogabili di legge;
- sovraccaricare deliberatamente l'infrastruttura o interferire con il regolare funzionamento del Servizio;
- rivendere, concedere in sublicenza o mettere il Servizio a disposizione di terzi non autorizzati.
Il Fornitore può sospendere l'accesso, previa comunicazione ove possibile, in presenza di violazioni rilevanti dei presenti termini o di rischi concreti per la sicurezza del sistema.
4. Dati del Cliente e protezione dei dati personali
I dati inseriti nel Servizio restano di titolarità del Cliente. Il Fornitore li tratta esclusivamente per erogare il Servizio, in qualità di responsabile del trattamento ai sensi dell'art. 28 GDPR, sulla base di apposito accordo sottoscritto con il Cliente.
Il Cliente è titolare del trattamento dei dati dei propri pazienti ed è responsabile della liceità dei dati immessi, dell'adeguatezza delle basi giuridiche e delle informative rese agli interessati.

5. Integrazioni con servizi di terze parti
Il Servizio può integrarsi, su attivazione facoltativa dell'utente, con servizi di terze parti quali Google Calendar e Google Meet. Tali integrazioni sono soggette anche ai termini e alle informative dei rispettivi fornitori, che il Cliente è tenuto a rispettare.
Il Fornitore non controlla la disponibilità, le modifiche o le interruzioni dei servizi di terze parti e non risponde di malfunzionamenti a essi imputabili. L'utente può revocare in qualsiasi momento le autorizzazioni concesse, come descritto nell' Informativa privacy.
6. Disponibilità e manutenzione
Il Fornitore si adopera per garantire la continuità del Servizio con la diligenza richiesta dalla natura dell'attività. Sono possibili interruzioni per manutenzione programmata, comunicate con ragionevole preavviso ove le circostanze lo consentano, nonché interruzioni dovute a interventi urgenti di sicurezza, cause di forza maggiore o fatti imputabili a fornitori di infrastruttura o connettività.
Il Fornitore esegue backup periodici dei dati secondo le politiche concordate. Eventuali livelli di servizio specifici (SLA) sono quelli previsti dal contratto con il Cliente.
7. Proprietà intellettuale
Il Servizio, il software, la documentazione, i marchi, i loghi e ogni elemento grafico o testuale che li compone sono di titolarità esclusiva del Fornitore o dei suoi licenzianti. Il contratto attribuisce al Cliente un diritto d'uso non esclusivo, non trasferibile e limitato alla durata del rapporto, senza alcun trasferimento di proprietà.
8. Limitazione di responsabilità
Il Servizio è uno strumento di supporto organizzativo e amministrativo: non sostituisce in alcun caso la valutazione clinica del professionista sanitario, il quale resta unico responsabile delle decisioni diagnostiche e terapeutiche e degli adempimenti di legge connessi all'attività sanitaria.
Nei limiti consentiti dalla legge, il Fornitore non risponde dei danni indiretti, del mancato guadagno, della perdita di opportunità commerciali né dei danni derivanti da un uso del Servizio non conforme ai presenti termini o alla documentazione, da dati errati immessi dal Cliente o da malfunzionamenti di servizi di terze parti.
Nessuna disposizione dei presenti termini esclude o limita la responsabilità del Fornitore nei casi in cui ciò non sia consentito dalla normativa applicabile, inclusi i casi di dolo o colpa grave.
9. Durata, recesso e cessazione
Durata, rinnovo e condizioni di recesso sono disciplinati dal contratto sottoscritto con il Cliente. Alla cessazione del rapporto l'accesso al Servizio viene disattivato; il Cliente può richiedere l'esportazione dei propri dati entro i termini previsti dal contratto, trascorsi i quali il Fornitore procede alla cancellazione secondo le politiche di conservazione concordate.
10. Modifiche ai termini
Il Fornitore può aggiornare i presenti termini per esigenze normative, tecniche o organizzative. La versione aggiornata è pubblicata su questa pagina con l'indicazione della data di ultimo aggiornamento; le modifiche sostanziali sono comunicate al Cliente.
11. Legge applicabile e foro competente
I presenti termini sono regolati dalla legge italiana. Per ogni controversia relativa alla loro interpretazione o esecuzione è competente in via esclusiva il Foro di Venezia, fatte salve le disposizioni inderogabili di legge.

1. Subject matter and acceptance
These terms govern the use of Polydesk (the “Service”), a cloud-based practice management software intended for medical practices, outpatient clinics and healthcare facilities, provided by C.B. Sistemi S.r.l. (the “Provider”).
Accessing and using the Service implies full acceptance of these terms. Pricing, duration, service levels and any specific clauses are set out in the agreement signed between the Provider and the healthcare facility (the “Customer”); in the event of conflict, the agreement prevails.
2. Description of the Service
Polydesk supports the management of appointment scheduling, patient records, facility resources (rooms, equipment, staff), patient communications and related administrative activities. The features actually available depend on the plan activated and on the configuration agreed with the Customer.
The Provider may introduce improvements, changes or new features. Changes that substantially reduce features in use are communicated to the Customer with reasonable notice.
3. Accounts, credentials and responsible use
Access is granted through individual credentials. The Customer is responsible for managing its operators' accounts, for keeping credentials confidential and for the activities carried out through them. Credentials must not be shared between multiple people.
The Customer and its operators undertake not to:
- use the Service for unlawful purposes or in breach of applicable laws;
- attempt to access areas, data or accounts outside their remit, or to circumvent security measures;
- decompile, disassemble or attempt to derive the source code of the Service, except within the limits mandatorily allowed by law;
- deliberately overload the infrastructure or interfere with the proper operation of the Service;
- resell, sublicense or make the Service available to unauthorised third parties.
The Provider may suspend access, with prior notice where possible, in the event of material breaches of these terms or of concrete risks to the security of the system.
4. Customer data and personal data protection
Data entered into the Service remains owned by the Customer. The Provider processes it solely to deliver the Service, acting as data processor pursuant to Article 28 GDPR, on the basis of a specific agreement signed with the Customer.
The Customer is the data controller for its patients' data and is responsible for the lawfulness of the data entered, for the adequacy of the legal bases and for the privacy notices provided to data subjects.

5. Third-party integrations
The Service may integrate, upon optional activation by the user, with third-party services such as Google Calendar and Google Meet. Such integrations are also subject to the terms and policies of the respective providers, which the Customer is required to comply with.
The Provider does not control the availability, changes or interruptions of third-party services and is not liable for malfunctions attributable to them. The user may revoke granted authorisations at any time, as described in the Privacy Policy.
6. Availability and maintenance
The Provider endeavours to ensure the continuity of the Service with the diligence required by the nature of the activity. Interruptions are possible for scheduled maintenance, announced with reasonable notice where circumstances allow, as well as interruptions due to urgent security work, force majeure or events attributable to infrastructure or connectivity providers.
The Provider performs periodic data backups in accordance with the agreed policies. Any specific service levels (SLAs) are those set out in the agreement with the Customer.
7. Intellectual property
The Service, the software, the documentation, the trademarks, the logos and every graphic or textual element they comprise are the exclusive property of the Provider or its licensors. The agreement grants the Customer a non-exclusive, non-transferable right of use, limited to the duration of the relationship, without any transfer of ownership.
8. Limitation of liability
The Service is an organisational and administrative support tool: it does not in any way replace the clinical judgement of the healthcare professional, who remains solely responsible for diagnostic and therapeutic decisions and for the legal obligations connected with healthcare activity.
To the extent permitted by law, the Provider is not liable for indirect damages, loss of profit, loss of business opportunity, or damages arising from use of the Service that does not comply with these terms or with the documentation, from incorrect data entered by the Customer, or from malfunctions of third-party services.
Nothing in these terms excludes or limits the Provider's liability in cases where this is not permitted by applicable law, including cases of wilful misconduct or gross negligence.
9. Duration, withdrawal and termination
Duration, renewal and withdrawal conditions are governed by the agreement signed with the Customer. Upon termination of the relationship, access to the Service is deactivated; the Customer may request an export of its data within the timeframes set out in the agreement, after which the Provider proceeds with deletion in accordance with the agreed retention policies.
10. Changes to these terms
The Provider may update these terms for regulatory, technical or organisational reasons. The updated version is published on this page together with the date of the last update; substantial changes are communicated to the Customer.
11. Governing law and jurisdiction
These terms are governed by Italian law. Any dispute relating to their interpretation or performance shall fall under the exclusive jurisdiction of the Court of Venice, without prejudice to mandatory provisions of law.
